Legal Advisor-The EMCO/Hanover Group

Owen M. Naccarato, CPA, MBA, JD, becomes legal advisor to The EMCO/Hanover Group in regard to corporate Security and Exchange Commission’s filings for publicly traded companies. Mr. Naccarato specializes in matters relating to all filings necessary for companies listed the NASDAQ, AMEX and NYSE stock exchanges, from public offerings and private placements to annual, quarterly and other required filings (registration statements, 10K’s, 10Q’s, 13(d)s and 8-K’s), along with all related proxy matters.

During his twenty year professional career, Mr. Naccarato has held various operating positions, most recently as a chief financial officer/corporate secretary for Potomac Worldwide Limited, a multinational company soon to be listed on the AMEX. Prior experience includes: Kaire Holdings Inc. (NASDAQ:BB), Bikers Dream, Inc. a NASDAQ traded motorcycle assembler and parts distributor, vice president/controller for Baxter International, Inc., a NYSE traded health care manufacturer and distributor with revenues of several billion dollars, and various financial and systems related management positions for NYSE traded companies (GE Capital and Tiger International) in the manufacturing, leasing, consumer/commercial financing and real estate industries.

Mr. Naccarato has further acted as a corporate secretary handling all legal matters, coordinating litigation with outside counsel, contract drafting and review, state manufacturing and dealer licensing plus EPA licensing. Mr. Naccarato also has experience setting up corporate legal structures consisting of both domestic and offshore corporations plus estate planning/asset protection for business executives and owners.

Mr. Naccarato has also worked in various consulting capabilities including: 1) coordinated the due diligence process pertaining to a divestiture of a TRW REDI division and review of all related agreements, 2) developed a business and implementation plan for a factoring business and 3) assisted an attorney firm with law and motion.

Mr. Naccarato is a member of the California State Bar Association, the Los Angeles and Orange County Bar Associations plus their business and corporate law sections. Mr. Naccarato is further a certified public accountant, having articled in the State of Illinois in 1977, and is a Notary Public.
